Terms of Service

1. Acceptance of Terms

By accessing or using NailedIt ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service.

2. Description of Service

NailedIt is a two-sided marketplace platform that connects property owners with service professionals for home services projects. The Service includes AI-assisted project creation, contract generation, escrow-backed payments, and related tools.

3. User Accounts

3.1 Account Creation

To use certain features of the Service, you must create an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

4. User Conduct

You agree not to:

• Use the Service for any illegal or unauthorized purpose
• Violate any laws in your jurisdiction
• Infringe upon the rights of others
• Transmit any viruses, malware, or harmful code
• Interfere with or disrupt the Service or servers
• Attempt to gain unauthorized access to any portion of the Service
• Impersonate any person or entity

5. Payments and Escrow

5.1 Payment Processing

Payments are processed through Stripe Connect. By using the Service, you agree to Stripe's terms and conditions. NailedIt is not responsible for payment processing errors or disputes.

5.2 Escrow

Funds are held in escrow until work is completed and approved by the customer. Payment release is subject to customer signoff and our escrow policies.

5.3 Refunds

Refund policies are outlined in individual contracts. NailedIt may facilitate refunds in accordance with contract terms and applicable law.

6. Contracts

Contracts created through NailedIt are binding agreements between customers and professionals. NailedIt facilitates contract creation but is not a party to these contracts. You are responsible for reviewing and understanding all contract terms before signing.

7. AI Pricing and Recommendations

NailedIt provides AI-assisted pricing recommendations based on available data and algorithms. These recommendations are estimates and may not reflect final pricing. Professionals may override AI suggestions, and customers should review all pricing before signing contracts.

8. Intellectual Property

The Service and its original content, features, and functionality are owned by NailedIt and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

9. Limitation of Liability

To the maximum extent permitted by law, NailedIt shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from your use of the Service.

10. Indemnification

You agree to defend, indemnify, and hold harmless NailedIt and its officers, directors, employees, and agents from and against any claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including attorney's fees) arising from your use of the Service or violation of these Terms.

11. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Service will immediately cease.

12. Changes to Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which NailedIt operates, without regard to its conflict of law provisions.
